This page will serve as our update page regarding the on-going SEC matter until it is completed. This list of documents are pulled directly from the Court’s Docket and will be populated in reverse chronological order and will display only documents related to the companies, not Chris Rabalais. Because Rabalais is separated from the companies in this matter, you may be able to find additional documentation for him using other resources.

6.22.24 Update: The SEC’s final reply brief to address our filed brief is due July 22, 2024 pending any other changes. From there we will await the Court to rule on our request for an evidentiary hearing. We felt it was important that the Court hear directly from Defendants due to the fact there were so many misstatements made by the SEC in their initial brief filing. We expect the SEC to address those in response to our brief in their final reply (due July 22nd). If the Court declines the evidentiary hearing, then they will likely set a date for Oral Argument stage for the lawyers in front of the Court. Once that has happened, the Court will likely make their final decision.

Documents previous to this date all led up to the court ordered mediation process, which ultimately failed. The mediation process was under NDA and so the details were not released.

Since that time, the companies separated from Chris and entered a bifurcated settlement agreement meaning that the companies neither admit nor deny any of the allegations in the complaint, agree not to participate in any unregistered securities offerings in the future and agreed to let the Court decide any applicable disgorgement and/or penalty. At this juncture, CWH & NSEI are non-revenue generating companies so the decision that the Court makes will likely decide the future of all investors. (Including myself and Alper).
